Terms of Service

Thea — Your Digital Employee

These Terms of Service (“Terms”) form a legally binding agreement between you and Heythea Pte. Ltd. (UEN: 202615884M), a company incorporated in Singapore (“Company,” “we,” “us”), governing your use of the Thea platform and related services. By creating an account, connecting any integration, or using the Service in any way, you agree to these Terms in full. If you do not agree, do not use the Service.

1. Definitions

“Service” or “Thea”
The Thea platform, including the AI agent, web dashboard, WhatsApp-based interactions, API integrations, and all related features provided by the Company.
“Customer,” “you,” “your”
The individual or business entity that registers for and uses the Service. In most cases, this is the studio owner or an authorized representative of the studio.
“Studio”
The yoga, pilates, movement, or fitness studio operated by the Customer.
“Organization”
The multi-tenant workspace within Thea that contains all data, configurations, and integrations for a single Studio.
“Student Data”
Any personal data of your studio’s students, leads, or contacts that is processed by the Service, including names, phone numbers, email addresses, class attendance, and booking history.
“Connected Services”
Third-party platforms you authorize Thea to access on your behalf, including but not limited to WhatsApp Business API, Meta Ads, Mindbody, Momoyoga, and ClassPass.
“Agent Decision”
Any action Thea proposes or executes on your behalf, including but not limited to sending follow-up messages, pausing or adjusting ads, flagging leads, and generating morning briefs.
“Autonomy Level”
The degree of independent action Thea is authorized to take without your prior approval, as described in Section 6.

2. Service Description

Thea is an AI-powered digital employee for studio businesses. Unlike passive software, Thea actively takes actions on your behalf:

Key distinction: Thea is an autonomous agent, not a passive tool. She proposes, and in some cases executes, real business actions. Your Autonomy Level settings (Section 6) control how much independence Thea has.

The Service is provided on a software-as-a-service basis. We may update, modify, or enhance features over time. Material changes to core functionality will be communicated at least 14 days in advance via WhatsApp or email.

3. Account & Access

3.1 Registration

You must provide accurate and complete information when creating an account. Each Studio corresponds to one Organization in Thea. You are responsible for maintaining the security of your account credentials.

3.2 Authorized Users

The primary account holder (typically the studio owner) may authorize additional users. You are responsible for all actions taken by authorized users under your Organization.

3.3 Age Requirement

You must be at least 18 years old to use the Service. By registering, you represent that you have the legal capacity to enter into this agreement.

3.4 One Organization Per Studio

Each studio location operates as a separate Organization. Data is strictly isolated between Organizations — no studio can access another studio’s data, configurations, or analytics.

4. Data, Privacy & Third-Party Integrations

4.1 Your Data Ownership

You retain full ownership of all data you provide to the Service, including Student Data, business information, ad creatives, and message content. We do not sell your data to third parties.

We process your data solely to provide and improve the Service. This includes:

4.3 Third-Party Integrations

When you connect a third-party service (WhatsApp Business API, Meta Ads, Mindbody, Momoyoga, etc.), you authorize Thea to access and interact with that service on your behalf. You acknowledge that:

4.4 WhatsApp Messaging

Thea sends messages via the WhatsApp Business API. All messages sent by Thea on your behalf are subject to Meta’s Business Messaging Policy. You agree not to use Thea to send spam, unsolicited marketing, or messages that violate WhatsApp’s terms. Message templates used by Thea comply with WhatsApp’s template approval process.

4.5 Student Data & PDPA Compliance

You represent that you have obtained the necessary consent from your students under Singapore’s Personal Data Protection Act 2012 (“PDPA”) and any other applicable data protection laws to share their personal data with the Service. This includes consent for:

We act as a data intermediary under the PDPA. We process Student Data only on your instructions and for the purposes described in these Terms.

4.6 Data Isolation

All Customer data is logically isolated at the Organization level. Every database record is tagged to your Organization. No other Customer can access, view, or infer your data. Our infrastructure enforces this isolation at the application and database layer.

4.7 Data Retention & Deletion

Upon termination, we retain your data for 30 days to allow for export or reactivation. After 30 days, all Organization data is permanently deleted from our active systems. Backups are purged within 90 days of termination. You may request earlier deletion by contacting us at privacy@heythea.app.

5. AI-Generated Content & Autonomous Actions

5.1 Nature of AI Output

Thea uses artificial intelligence and machine learning to generate content, make recommendations, and take actions. AI-generated outputs (morning briefs, follow-up messages, ad recommendations, retention suggestions) are produced algorithmically and may contain inaccuracies.

5.2 Your Responsibility

You are ultimately responsible for all actions taken through your Thea account, including messages sent to your students and leads. Even when Thea acts autonomously (see Section 6), the messages are sent from your business and under your brand. You should review Thea’s suggestions and outputs, especially during the initial onboarding period.

5.3 No Guarantee of Outcomes

Thea’s recommendations are based on data analysis and pattern recognition. We do not guarantee specific business outcomes, including but not limited to lead conversion rates, student retention improvements, ad performance gains, or revenue increases.

5.4 Content Standards

Thea is designed to communicate in a warm, professional tone consistent with studio business contexts. We do not intentionally generate offensive, discriminatory, or misleading content. If you believe Thea has produced inappropriate content, please report it to support@heythea.app and we will investigate promptly.

6. Progressive Autonomy & Approval

This section is unique to Thea and important to understand. Thea’s autonomy increases over time based on your trust and her track record — but you are always in control.

Regardless of Autonomy Level, the following actions always require your explicit approval:

6.3 Demotion & Override

You can manually reduce Thea’s Autonomy Level at any time from your dashboard. Additionally, Thea automatically demotes to Level 1 if she receives 3 or more negative feedback signals within a 7-day period. All autonomy changes are logged.

6.4 Decision Logging

Every Agent Decision is logged with a full context snapshot, including the data Thea observed, her reasoning, the action taken (or proposed), and the outcome. You can review the decision log at any time from your dashboard.

7. Fees, Billing & Trials

7.1 Pricing

The current subscription fee is SGD 499 per month per Organization (approximately $16/day). Pricing is subject to change with 30 days’ written notice. Existing customers on active subscriptions will be grandfathered at their current rate for at least 6 months following any price change.

7.2 Free Trial

New customers may receive a free trial period (typically 14 days). During the trial, all features are available. No credit card is required to start a trial. At the end of the trial, you may choose to subscribe or your account will be deactivated. Trial data is retained for 30 days after trial expiration.

7.3 Billing Cycle

Subscriptions are billed monthly in advance. Payment is due on the same day each month as your subscription start date. We accept payment via credit card, bank transfer, and PayNow (Singapore).

7.4 Late Payment

If payment fails, we will attempt to collect for up to 7 days. If payment remains unsuccessful, we may suspend your account. Thea will stop sending messages and executing actions during suspension, but your data remains intact. Service resumes immediately upon successful payment.

7.5 No Refunds

Subscription fees are non-refundable except where required by law. If you cancel mid-cycle, you retain access until the end of your current billing period.

8. Intellectual Property

8.1 Our IP

The Service, including its AI models, algorithms, user interface, documentation, and brand assets, is owned by Heythea Pte. Ltd. and protected by applicable intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes.

8.2 Your Content

You retain ownership of all content you input, including studio information, student data, ad creatives, and message templates. You grant us a limited license to use this content solely to provide the Service.

8.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, we may use them without restriction or compensation. This helps us improve Thea for all customers.

10. Warranties & Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Without limiting the foregoing, we do not warrant that:

We do warrant that we will provide the Service with reasonable care and skill, and that we will use commercially reasonable efforts to maintain the security of your data.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

Nothing in these Terms excludes or limits liability for fraud, death or personal injury caused by negligence, or any liability that cannot be excluded under Singapore law.

12. Indemnification

You agree to indemnify and hold harmless the Company, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:

13.1 By You

You may cancel your subscription at any time by notifying us via WhatsApp, email, or your dashboard. Cancellation takes effect at the end of your current billing period. Upon cancellation, Thea stops all autonomous actions immediately.

13.2 By Us

We may suspend or terminate your account immediately if you materially breach these Terms, engage in abusive use, fail to pay fees for more than 14 days, or if required by law. We will provide reasonable notice where possible.

Sections 4 (Data), 5 (AI Content), 8 (IP), 10 (Warranties), 11 (Liability), 12 (Indemnification), and 15 (Governing Law) survive termination.

14. Changes to These Terms

We may update these Terms from time to time. For material changes, we will notify you at least 30 days in advance via WhatsApp or email. Your continued use of the Service after the effective date of updated Terms constitutes acceptance. If you disagree with material changes, you may cancel your subscription before the changes take effect.

15. Governing Law & Disputes

15.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of Singapore, without regard to conflict of law principles.

15.2 Dispute Resolution

Any dispute arising from these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be referred to mediation at the Singapore Mediation Centre. If mediation fails, disputes shall be submitted to the exclusive jurisdiction of the courts of Singapore.

16. General Provisions

16.1 Entire Agreement

These Terms, together with the Privacy Policy and any Pilot Agreement you may sign, constitute the entire agreement between you and the Company regarding the Service.

16.2 Severability

If any provision of these Terms is held to be unenforceable, the remaining provisions continue in full force and effect.

16.3 Waiver

Failure to enforce any right or provision does not constitute a waiver of that right or provision.

16.4 Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights to an affiliate or successor in connection with a merger, acquisition, or sale of assets.

16.5 Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond reasonable control, including natural disasters, government actions, internet outages, or third-party service disruptions.
